1. Purpose

This Vendor Agreement explains the terms under which your food shop or canteen (“Vendor”) uses the QueLessly platform to receive orders and payouts.

2. Vendor Onboarding

Vendor must provide:

• Legal business name
• Owner/manager name
• Phone, email, shop address
• UPI ID or bank account details
• Food license (if applicable)

Vendor confirms all details are accurate.

3. Order Flow & Responsibilities

Vendor agrees to:

• Receive orders via QueLessly dashboard/app
• Prepare food accurately and hygienically
• Deliver or make the order available promptly
• Maintain price transparency
• Display correct menu items and availability

Vendor acknowledges that food quality is solely their responsibility.

4. Payments & Payouts

• QueLessly collects payments from students on the Vendor’s behalf.
• QueLessly automatically confirms orders once payment is received.
• QueLessly will send payouts to the Vendor’s provided UPI/bank details.
• Payout schedule: Instant / End-of-day / 24–48 hours (as discussed with Vendor).
• Vendor must ensure UPI/bank details are correct. QueLessly is not responsible for wrong payouts due to incorrect details.

QueLessly may deduct:

• Marketplace commission (if applicable)
• Convenience/service fees
• Refunds & chargebacks (if any)

5. Refunds & Chargebacks

Vendor must cooperate in:

• Order cancellation requests
• Quality issues
• Non-delivered items
• Incorrect order preparation

If Vendor fails to deliver an order, QueLessly may refund the student and deduct the amount from Vendor’s next payout.

6. Taxes

Vendor is responsible for:

• GST registration (if applicable)
• Tax filing
• Reporting sales made through QueLessly

QueLessly is not responsible for Vendor taxes.

7. Vendor Conduct

Vendor must:

• Ensure food hygiene
• Follow FSSAI guidelines
• Not sell banned or unsafe items
• Treat customers respectfully
• Update menu availability promptly

QueLessly may suspend or terminate the Vendor account for violations.

8. Liability

Vendor indemnifies QueLessly against claims arising from:

• Food contamination
• Illness caused by food
• Food safety violations
• Misconduct of Vendor staff
• Tax/GST issues

QueLessly’s maximum liability is limited to the total commission earned in the last 30 days.

9. Data Usage

Vendor allows QueLessly to:

• Display their menu and shop details
• Use aggregated sales data for analytics
• Send email/SMS notifications
• Share Vendor info with payment partners for payouts only

QueLessly will not sell Vendor data.

10. Termination

Either party may terminate this agreement with written notice. Funds owed to the Vendor will be settled before termination.

11. Governing Law

This agreement is governed by the laws of India, jurisdiction of Pune, Maharashtra.
